1. Agreement to Terms
These Terms of Use and Conditions of Sale (“Terms”) govern your access to and use of https://orosresearch.com (the “Site”) and purchases from OROS, Inc. (“OROS,” “Company,” “we,” “us,” or “our”).
By accepting these Terms, creating an account, or placing an order, you agree to be bound by these Terms. Your use of the Site is also subject to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Site or purchase our products.
Our Privacy Policy describes how we collect, use, and disclose personal information. Our Legal Disclaimer provides additional information about the intended uses and limitations of our products. Both are available on the Site.
If you act on behalf of an organization, you represent that you have authority to bind that organization.
These Terms include a binding arbitration provision in Section 22 that affects how certain disputes are resolved.
2. Changes to These Terms
We may update these Terms from time to time. We will identify revisions by changing the “Last updated” date and provide additional notice when required by law.
Unless otherwise required by law or expressly agreed, purchases are governed by the Terms accepted when the order was placed. Changes will not retroactively alter an existing dispute without the parties’ agreement.
Your continued use of the Site after revised Terms take effect constitutes acceptance to the extent permitted by applicable law.
3. User Representations and Purchaser Eligibility
By using the Site or purchasing products, you represent and warrant that:
- You have reached the age of majority in your jurisdiction and have the legal capacity to enter into these Terms.
- Information you provide is accurate, current, and complete.
- You will maintain and update your account, contact, billing, and shipping information as necessary.
- You will comply with applicable laws and regulations governing the purchase, possession, handling, storage, and use of our products.
- You will use the Site and our products only for lawful, authorized purposes.
- You will not misrepresent your identity, qualifications, organizational affiliation, or intended use.
To purchase products, you must also be either:
- An independent professional research analyst purchasing for legitimate laboratory research; or
- An authorized representative of an organization involved in research and development.
We may request information reasonably necessary to verify eligibility, payment authorization, or intended use. We may decline or cancel an order if eligibility cannot be established or the proposed use is inconsistent with these Terms. Any payment collected for a canceled, unfulfilled order will be refunded as required by applicable law.
4. Research Use Only
OROS supplies research-use-only materials. All products are intended exclusively for in-vitro laboratory research by qualified persons.
Products are not intended for:
- Human or animal consumption or administration;
- Personal use, self-experimentation, or veterinary use;
- Diagnostic, therapeutic, medicinal, or clinical applications; or
- Incorporation into products intended for human or animal use.
Products are not sold as drugs, medicines, dietary supplements, food, or cosmetics.
You are responsible for ensuring that your personnel, facilities, equipment, handling practices, and research activities are appropriate for the materials purchased.
We do not provide personal-use instructions, dosing recommendations, administration guidance, or medical advice. We may decline inquiries and restrict purchases that indicate an intended use inconsistent with these restrictions.
5. Informational Content and FDA Disclaimer
Content on the Site is provided for general educational and informational purposes. It is not medical, veterinary, legal, or individualized scientific advice and does not replace advice from appropriately qualified professionals.
Our products have not been evaluated or approved by the U.S. Food and Drug Administration for diagnostic, therapeutic, or medicinal use.
No product or statement on the Site is intended to diagnose, treat, mitigate, cure, or prevent any disease or medical condition.
Descriptions of scientific literature, mechanisms, or research findings do not authorize or endorse any prohibited use.
6. Product Information, Testing, and Documentation
We endeavor to present product descriptions, specifications, pricing, availability, and supporting documentation accurately. Errors or omissions may occur, and we may correct them.
If a material error affects an order, we may contact you for instructions or cancel the affected order and refund any payment collected for the unfulfilled portion.
Certificates of analysis (“COAs”) and other testing documents apply only to the samples, lots, methods, and results identified in those documents. Testing performed on one lot does not establish the same results for another lot.
A reference standard’s characterization does not, by itself, establish that the same testing was performed on a submitted product sample.
Do not infer sterility, endotoxin limits, stability, shelf life, accreditation, certification, or suitability for a particular application unless the applicable documentation expressly supports that conclusion. Testing does not change a product’s research-use-only status.
Please contact support@orosresearch.com if you need assistance identifying documentation for a specific product or lot.
7. Accounts and Security
If you create an account, you are responsible for protecting your login credentials and for activity you authorize through that account.
Notify us promptly at support@orosresearch.com if you suspect unauthorized access or a security issue.
You may not impersonate another person, access another user’s account without authorization, or provide false account information.
We may require verification or temporarily restrict access when reasonably necessary to protect accounts, investigate suspected fraud, or maintain Site security.
8. Orders, Pricing, and Availability
Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt and does not, by itself, guarantee acceptance, inventory availability, or shipment.
We may limit quantities, request verification, or decline or cancel orders for legitimate reasons, including suspected fraud, pricing errors, inventory shortages, legal restrictions, or research-use eligibility concerns.
If we cancel an order after collecting payment, we will refund the amount collected for the unfulfilled portion, including associated charges where required by law.
Prices are stated in U.S. dollars unless otherwise indicated. Applicable taxes, shipping charges, and other disclosed charges will be shown before payment authorization.
Prices, promotions, and availability may change. Changes do not retroactively increase an accepted order’s authorized total without your agreement.
Promotions are subject to their disclosed eligibility requirements, exclusions, expiration dates, and combination rules.
9. Purchases and Payment
We accept credit cards at checkout through the payment methods displayed on the Site. Available payment methods may change.
Depending on the payment method offered for your order, payment may be completed directly at checkout or through a separate payment authorization form provided after order placement.
You agree to provide accurate, current, and complete payment information and represent that you are authorized to use the payment method provided.
By submitting payment at checkout or completing a payment authorization form, you authorize OROS and its payment processors to charge the payment method provided for the total disclosed to you, including applicable taxes and shipping charges.
Placing an order does not, by itself, establish that payment is complete. Orders will not be released for fulfillment until the required payment authorization and any necessary verification are complete.
We may contact you if a payment is declined, incomplete, or requires verification.
10. Payment Authorization Forms and Cardholder Data
Direct Checkout Payments
When payment is successfully completed at checkout, a separate payment authorization form is not routinely required. Additional verification may be requested when reasonably necessary to confirm an order or payment.
Separate Payment Authorization Forms
When a separate payment authorization form is required, we will provide instructions for completing it through our designated third-party payment provider.
The form and any required verification must be completed before the order is released for fulfillment.
If the required authorization is not completed within 24 hours of order placement, the unpaid order may be canceled and reserved inventory released. This deadline applies only to orders requiring a separate payment authorization form and does not apply to orders successfully paid at checkout.
If you have already paid, contact support@orosresearch.com before submitting another payment for the same order.
Payment Information and Records
Payments are processed through designated third-party payment providers. Their collection, processing, and retention of payment information are subject to their applicable privacy and security policies and our Privacy Policy.
We may retain transaction records, payment confirmations, authorization records, and related communications for order administration, fraud prevention, dispute resolution, and applicable recordkeeping requirements.
Do not send full card numbers or card security codes by email, SMS, or ordinary support messages. Use the designated checkout or payment authorization process.
Submitting payment for an order does not, by itself, authorize unrelated purchases, subscriptions, or recurring charges. Any such arrangement requires separate disclosure and authorization.
11. Shipping, Delivery, and Order Issues
Shipping options, charges, and any stated processing or delivery estimates are provided on the Site or during checkout.
Delivery estimates may be affected by carrier operations, weather, address issues, holidays, and other circumstances. Nothing in these Terms removes our obligations concerning promised shipment times or required delay notices.
If we cannot ship within the applicable promised timeframe, we will provide any notice, opportunity to consent to a delay, cancellation option, and refund required by applicable law.
You are responsible for providing a complete and accurate shipping address. Contact us promptly if a correction is needed. Address changes may not be possible once fulfillment begins, and additional carrier charges may apply if disclosed and accepted.
Inspect your shipment promptly. Report missing, incorrect, damaged, or apparently compromised items to support@orosresearch.com as soon as reasonably possible. Include your order number and relevant photographs, and retain the packaging while the issue is reviewed. Do not return materials without instructions.
For a delivery dispute, we may review tracking, carrier records, delivery details, and other relevant evidence. A shipment scan alone does not conclusively resolve every delivery issue or eliminate applicable rights.
12. Final Sales, Cancellations, Returns, and Refunds
General Final-Sale Policy
Except as required by applicable law or expressly stated in these Terms, sales are final once payment is successfully processed and required authorization is complete.
We do not ordinarily accept discretionary cancellations, returns, exchanges, or refunds for change of mind, customer selection errors, or materials no longer needed.
Because research materials may be affected by handling, storage, contamination, or chain-of-custody concerns, do not send products back without prior written authorization. An authorized return does not automatically establish eligibility for a refund or exchange.
Incorrect, Damaged, Missing, or Nonconforming Orders
Our final-sale policy does not eliminate remedies required by law for incorrect, damaged, missing, materially misdescribed, or otherwise nonconforming products.
Contact support@orosresearch.com promptly so we can investigate. We may request reasonable supporting information and, where appropriate, arrange a replacement, refund, or another legally available remedy.
Billing Errors and Canceled Orders
Contact us promptly if you believe a duplicate charge or other billing error occurred. We will review the transaction and correct verified errors.
If we cancel an order we cannot fulfill, we will refund the applicable amount collected.
Approved refunds will ordinarily be issued to the original payment method unless another method is required by law or agreed with you. Posting times depend on the payment provider and financial institution.
Nothing in this section restricts nonwaivable rights or requires you to accept store credit in place of a refund required by law.
13. Payment Disputes and Chargebacks
If you have a billing or fulfillment concern, we encourage you to contact support@orosresearch.com so we can investigate and attempt to resolve it.
Contacting us is not a condition of exercising rights available through your card issuer, payment provider, or applicable law.
We may respond to payment disputes with relevant records, including checkout authorization, payment authorization forms where applicable, order details, communications, tracking, and delivery records.
We reserve the right to contest inaccurate or unsupported disputes and pursue remedies for substantiated fraud as permitted by law.
A good-faith payment dispute is not, by itself, fraud or a breach of these Terms. Nothing in these Terms waives lawful rights concerning unauthorized transactions, billing errors, non-delivery, or other legally recognized disputes.
14. Prohibited Activities
You may not:
- Use the Site or products for unlawful purposes or prohibited human or animal applications;
- Misrepresent your identity, eligibility, payment authority, or intended use;
- Attempt unauthorized access to accounts, systems, or data;
- Introduce malware, interfere with Site operations, or bypass security controls;
- Scrape, harvest, or systematically extract Site or user data without authorization, except where permitted by law;
- Reproduce, resell, or commercially exploit Site content without authorization;
- Infringe intellectual property, privacy, or other legal rights; or
- Threaten, harass, or abuse our personnel or other users.
These restrictions do not prohibit lawful reporting, protected speech, honest reviews, or other legally protected activity.
15. Intellectual Property
Unless otherwise identified, the Site and its text, graphics, logos, designs, images, and other content are owned by OROS or its licensors and protected by applicable intellectual property laws.
You may access the Site and use its content for lawful informational purposes connected with evaluating or purchasing our products.
Except as permitted by law or with written authorization, you may not reproduce, distribute, modify, republish, or commercially exploit protected Site content. No ownership rights are transferred through access or purchase.
16. Reviews, Contributions, and Feedback
You retain ownership of reviews and other original content you submit.
By voluntarily submitting content for publication, you grant OROS a nonexclusive, royalty-free license to display, reproduce, format, and distribute that content in connection with the Site, our products, and related marketing, subject to applicable law and any separate consent requirements.
You represent that you have the rights needed to submit the content and that it does not unlawfully disclose confidential information or violate another party’s rights.
We may moderate content that is unlawful, abusive, fraudulent, irrelevant, or infringes another party’s rights. We will not restrict an honest review solely because it is negative or require you to transfer ownership of a review.
Do not submit confidential research or proprietary information through public reviews or unsolicited feedback. We may use voluntary, nonconfidential suggestions to improve our business without compensation unless separately agreed in writing.
17. Third-Party Services and Links
The Site may contain links to third-party websites or use third-party payment, shipping, communications, or other services.
Third-party services may be governed by their own terms and privacy policies. A link does not necessarily constitute an endorsement.
We do not control independently operated third-party websites or services. This provision does not eliminate responsibilities we retain under applicable law.
18. Privacy and Electronic Communications
Our Privacy Policy explains our handling of personal information. These Terms do not replace that policy or any legally required consent.
By providing an email address in connection with an account, inquiry, or purchase, you agree that we may use it for related service communications, including confirmations, payment requests, shipping notices, and support responses, as permitted by law.
Marketing communications are subject to applicable consent and opt-out requirements. Providing contact information or accepting these Terms does not, by itself, constitute consent to marketing SMS messages.
You may unsubscribe from marketing emails using the instructions provided. Necessary nonmarketing communications may continue as permitted by law.
Electronic acceptance, payment authorizations, and signatures may have the same legal effect as written records and signatures to the extent permitted by law.
19. SMS Communications and Consent
Program Description
Where you provide the consent required by applicable law, OROS may send text messages concerning orders, payments, shipping, account security, customer support, or other requested services.
With separate consent where required, we may also send promotional messages, including product announcements and offers. Messages may be sent using automated technology.
Consent to marketing texts is not a condition of purchase. Acceptance of these Terms alone does not constitute marketing-text consent.
Your Representations
When enrolling, you represent that you are the current subscriber or authorized user of the number provided and have authority to consent to messages at that number.
Notify us if you stop using the number or it is reassigned.
Frequency and Charges
Message frequency varies based on your activity and the programs you join. Recurring messages may be sent where authorized.
Message and data rates may apply under your carrier plan. Availability and delivery depend on carrier and network conditions.
Opting Out
Reply STOP to a message to opt out. You may also contact support@orosresearch.com or use another reasonable method recognized by applicable law.
We will honor revocation requests within the applicable legal timeframe and scope. A nonpromotional confirmation or clarification message may be sent where permitted.
Closing your account is not required to withdraw SMS consent. Following an opt-out, we may communicate through email or another permitted channel.
Help
Reply HELP where supported, or email support@orosresearch.com for assistance.
Privacy
SMS-related personal information is handled in accordance with our Privacy Policy. We do not sell or share mobile numbers or SMS consent with unaffiliated third parties for their own marketing purposes.
We may disclose information to service providers supporting our messaging program, or as otherwise described in our Privacy Policy and permitted by law.
20. Suspension, Termination, and Site Availability
We may suspend or restrict access, decline orders, or terminate accounts when reasonably necessary to address violations, suspected fraud, security concerns, legal obligations, or conduct that threatens users, personnel, or Site operations.
Where appropriate and legally required, we will provide notice. Immediate action may be taken when necessary to prevent harm or comply with law.
Termination does not eliminate existing payment obligations, required refunds, or nonwaivable rights.
We may modify, suspend, or discontinue Site features. We do not guarantee uninterrupted availability and may perform maintenance or correct errors. Existing order obligations remain subject to these Terms and applicable law.
21. Governing Law
These Terms are governed by the laws of North Carolina, without regard to conflict-of-law principles, and applicable United States federal law.
The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below where applicable.
This choice of law does not deprive you of protections that cannot lawfully be waived under the laws applicable to you.
22. Dispute Resolution and Arbitration
Informal Resolution
We encourage you to contact support@orosresearch.com with a description of the dispute, your contact information, and the resolution requested.
The parties may attempt an informal resolution before commencing a formal proceeding. Doing so is not a prerequisite to a lawful card dispute, regulatory complaint, or timely action needed to preserve legal rights.
Binding Arbitration
Except for the exclusions below, disputes arising from these Terms, the Site, or purchases will be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under the rules applicable to the dispute.
The AAA Consumer Arbitration Rules and applicable consumer protections will apply when required. Commercial disputes will otherwise be administered under the applicable AAA Commercial Arbitration Rules.
The arbitrator may award remedies available under applicable law and must respect nonwaivable statutory rights.
Unless applicable law or AAA rules require otherwise, arbitration will take place in Wake County, North Carolina. Any hearing location must comply with applicable AAA requirements. The parties may agree to remote or document-based proceedings where permitted.
Fees and costs will be allocated under applicable AAA rules and law. OROS will pay any amounts it is required to pay.
For disputes covered by an enforceable arbitration agreement, the parties waive a court trial, including a jury trial, except as stated below.
Exclusions and Preserved Rights
Either party may bring an eligible individual action in small claims court.
Nothing prevents either party from contacting a government agency, participating in a government investigation, exercising lawful payment-dispute rights, or seeking relief that applicable law does not permit to be restricted to arbitration.
A request for temporary court relief to preserve rights or prevent imminent harm does not, by itself, waive arbitration.
If arbitration is unavailable or this provision is unenforceable for a particular dispute, that dispute may proceed in a court with jurisdiction. Subject to nonwaivable law, the parties consent to state and federal courts serving Wake County, North Carolina.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR FREEDOM FROM HARMFUL COMPONENTS.
EXCEPT FOR EXPRESS PRODUCT DESCRIPTIONS, SPECIFICATIONS, OR WRITTEN WARRANTIES APPLICABLE TO YOUR ORDER, AND WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT A PRODUCT WILL PRODUCE A PARTICULAR RESEARCH RESULT OR BE SUITABLE FOR AN APPLICATION YOU HAVE NOT INDEPENDENTLY EVALUATED.
THESE DISCLAIMERS DO NOT OVERRIDE EXPRESS COMMITMENTS, EXCUSE MATERIAL MISDESCRIPTION, OR LIMIT NONWAIVABLE RIGHTS.
24. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OROS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE SITE OR PRODUCTS, INCLUDING LOST PROFITS, LOST BUSINESS, OR LOST RESEARCH DATA.
SUBJECT TO THE EXCLUSIONS BELOW, OROS’S TOTAL LIABILITY ARISING FROM AN ORDER WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
THESE LIMITATIONS DO NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, LIABILITY THAT CANNOT LAWFULLY BE LIMITED, OR REFUNDS AND OTHER REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.
25. Indemnification
To the extent permitted by law, you agree to indemnify OROS and its officers, employees, and agents against third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of products, material breach of these Terms, or infringement of another party’s rights.
This obligation does not apply to the extent a claim results from OROS’s own negligence, misconduct, or violation of law.
We will provide reasonable notice of an indemnified claim and an opportunity to participate in its defense. Neither party may agree to a settlement imposing an admission or nonmonetary obligation on the other without that party’s consent.
26. California Users and Complaints
California residents may contact the California Department of Consumer Affairs regarding complaints:
California Department of Consumer Affairs1625 North Market Blvd., Suite N 112Sacramento, CA 95834Telephone: (800) 952-5210Website: https://www.dca.ca.govYou may also submit complaints directly to OROS using the contact information below. Nothing in these Terms restricts your right to contact an appropriate regulator or government agency.
27. Miscellaneous
These Terms, together with applicable order-specific terms and the Legal Disclaimer, constitute the agreement concerning the Site and purchases, except where a separate written agreement signed by OROS provides otherwise.
A separately negotiated wholesale, supply, or other signed agreement controls over conflicting provisions of these Terms to the extent stated in that agreement.
If a provision is unlawful or unenforceable, it will be enforced only to the extent permitted, and the remaining provisions will remain effective, unless applicable law requires a different result.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not transfer your contractual obligations without our written consent. OROS may transfer its rights and obligations in connection with a merger, reorganization, or sale, provided the transfer does not reduce nonwaivable protections.
Provisions that by their nature should survive termination will survive, including accrued payment obligations, intellectual property rights, dispute resolution, and applicable liability provisions.
These Terms do not limit rights or remedies that cannot lawfully be waived.
